Wallet and Payouts User Agreement

Rewizja 8

What this service is and how it works

The Millida wallet is the internal balance of an account. It accumulates what you have earned on the platform's services and what you have topped up yourself to pay for services.

How it is arranged: — what is earned on sales lands on the balance automatically once the payment is confirmed; — you can top up the balance by the available payment methods, and that money is spent on the platform's services; — what is earned can be withdrawn to your own details: a bank card or a crypto wallet; — every movement of money is recorded in the ledger by double entry, so the balance always reconciles.

Important about topping up. By topping up the balance, you pay for the Platform's services in advance. A top-up is a service already rendered — crediting funds to your internal balance: it is performed at the moment of crediting, after which you use the balance at your own discretion on any Millida service. Transferring topped-up funds back to a bank card, an account or a crypto wallet is not a service of the Platform, is not technically provided for and is not carried out. Topped-up funds do not expire: they remain on the balance without any time limit and can be spent on any service of the Platform. If you are not sure that you will spend the amount, do not top up the balance in advance — pay for the specific order.

What we do: accounting for the money, making payouts through the payment provider, protection against fraudulent transactions.

What you do: state your payout details, are responsible for their correctness and pay taxes on your income yourself.

1. General provisions

1.1. These Terms govern the operation of the single Millida wallet, topping up and withdrawing funds, withholdings and anti-money-laundering measures.

1.2. The Terms supplement the General Terms of Use of Millida and the Public Offer and prevail as regards settlements.

1.3. Use of the wallet, as well as sending a withdrawal request, means acceptance of these Terms.

How this document is accepted

This document is an offer within the meaning of applicable law and is addressed to an indefinite range of persons.

The document is deemed accepted the moment the User performs any of the following: — ticking the consent box in the platform interface; — completing account registration; — placing an order, a deal, a withdrawal request or a service request; — actually using the relevant service — for documents that do not provide for a separate consent box.

Where acceptance is a distinct action in the interface — a consent box, registration or placing an order — the Company records it in an electronic journal together with the date and time, the document version, the checksum of its text, the IP address and information about the User's software. Such a record is evidence that the contract was concluded and is recognised by the parties as the equivalent of a handwritten signature. An extract from the journal can be requested from support.

For documents accepted by actually using the service, the service usage records themselves serve as evidence of acceptance.

2. The nature of the wallet

2.1. The wallet is an internal accounting balance reflecting the amount of the User's monetary claim against the Company. The wallet is not a bank account, a deposit or an electronic means of payment; no interest is accrued on the remaining amount, and the funds are not insured.

2.2. Accounting is kept by double entry. Every movement of funds is reflected by an entry in the ledger. Where a discrepancy between the ledger and the balances is detected, the Company may temporarily suspend payouts until the discrepancy is eliminated.

2.3. The wallet balance is divided into topped-up funds and earned funds (income from sales on the Platform's services). The regime of these funds differs: earned funds are withdrawn to the User's details, while topped-up funds are spent within the Platform.

2.4. Topping up the balance is a standalone service of the Platform — the crediting of funds to the User's internal accounting balance. The service is deemed rendered in full at the moment the amount is reflected on the balance. From that moment the payment is performed, and the User obtains the right to dispose of the balance when paying for any services of the Platform.

2.5. Topped-up funds are not subject to being transferred back to a bank card, an account, a crypto wallet or any other means of payment. Such a transaction does not form part of the Platform's services, is not provided for by its functionality and is not carried out either upon the User's application or by way of a withdrawal of funds. The restriction is established in order to prevent the use of the Platform for transit, cashing out and money laundering and is a material condition which the User agrees to before making a top-up.

2.6. Topped-up funds have no expiry date, do not burn out and are not written off for non-use. The User may spend them on any service of the Platform at any time, and may also transfer a paid order to another person by the means provided for in the service interface. The User's inability or unwillingness to make use of the balance is not a ground for paying it out in money.

2.7. The only exceptions to clause 2.5 are cases where the payment should not have taken place at all: a technical error in crediting, a double debit, a payment made without the consent of the owner of the means of payment, and the Company's discontinuation of the service under the clause on discontinuation of the service. In such cases the Company refunds the amount under the rules of the Refunds and Cancellations Policy.

3. Topping up

3.1. Topping up is carried out by the methods available in the interface. Crediting takes place after the payment is confirmed by the payment provider.

3.2. Topping up using means of payment that do not belong to the User is prohibited. The Company may request confirmation that the means of payment belongs to the User.

3.3. Funds credited in error are subject to return to the Company; the Company may debit them from the balance without any further authorisation.

3.4. Before a top-up is confirmed, the User is shown a notice that topped-up funds are spent only within the Platform and are not transferred back to the means of payment. By confirming the top-up, the User confirms that they have been made aware of this condition and accept it.

3.5. Topping up is not a mandatory condition of using the Platform: any order may be paid for directly by the chosen payment method, without first crediting funds to the balance. The User chooses the payment method themselves.

4. Withdrawal of funds

4.1. Only earned funds may be withdrawn. Topped-up funds are not subject to withdrawal and are spent solely on paying for the Platform's services (clauses 2.4–2.7). A request to withdraw topped-up funds is rejected, and the amount remains on the User's balance.

4.2. A withdrawal request is sent in the personal account to details belonging to the User themselves. Withdrawal to third parties' details is not permitted.

4.3. The request processing period is up to 3 (three) business days, and where a check is required, up to 10 (ten) business days. The crediting period depends on the payment provider and the recipient's bank.

4.4. The Company may set a minimum and a maximum withdrawal amount, limits per period and the order of priority in which requests are processed.

4.5. The withdrawal fee, where applied, is displayed before the request is confirmed.

4.6. Where a request is rejected, the funds are returned to the balance, and the User is informed of the reason for the rejection to the extent permitted by security and legal requirements.

5. Confirmation of transactions

5.1. The Company does not carry out identity verification and does not request supporting documents. Where signs of risk are detected, or upon a demand of a payment system, a bank or an authorised body, the Company may request from the User: — confirmation that the means of payment or the withdrawal details belong to them; — explanations about the origin of the transactions on the balance; — confirmation of access to the account and to the linked contacts.

5.2. Until explanations are received, the payout is suspended. A refusal to give explanations or the provision of knowingly inaccurate information is a ground for refusing the payout and discontinuing service.

5.3. The explanations received are used only to check the transaction and are stored under the procedure established by the Privacy Policy.

6. Withholdings and freezing of funds

6.1. The Company may temporarily withhold funds on the balance (prohibit their withdrawal) in the following cases: — receipt of a payment of 15,000 rubles and above — for 24 hours from the moment of payment; — signs of fraud, an unauthorised transaction, an elevated chargeback risk — for up to 30 (thirty) calendar days; — an open dispute, a buyer's request, a demand of a payment system or a bank — until it is resolved, but for no more than 180 (one hundred and eighty) calendar days; — a discrepancy in the ledger, a technical error in crediting — until it is eliminated; — a demand of an authorised body — for the period set by it; — failure to receive the explanations under clause 5.1 — until they are received.

6.2. The Company may debit from the balance, without any further authorisation, the amounts of: — refunds to buyers and chargebacks on the User's transactions, including payment system fees and fines; — amounts credited in error; — the User's debts to the Company under any of the services.

6.3. A debit may result in a negative balance. A negative balance is to be repaid by the User; until it is repaid, payouts and the provision of paid services are suspended. The Company may set off a negative balance against subsequent receipts.

6.4. The Company notifies the User of a withholding and its ground in the personal account, except where notification is prohibited by law or may impede an investigation.

6.5. The User may challenge a withholding by contacting support. If the grounds are not confirmed, the withholding is lifted immediately.

7. Countering money laundering and abuse

7.1. It is prohibited to use the wallet and the Platform's services for: — transferring funds between persons without any real consideration in return; — cashing out, transit and splitting of payments; — transactions in the interests of third parties without disclosing that fact; — transactions using other people's or stolen means of payment; — artificially creating turnover, including purchases in one's own shop and mutual fictitious deals.

7.2. The Company applies automated and manual checks of transactions. Where signs of a breach are detected, the Company may suspend transactions, request explanations and documents, refuse a payout, terminate the relationship and report the case to authorised bodies where the law so provides.

7.3. Funds obtained as a result of transactions found to be in bad faith are not subject to withdrawal and are returned to the injured party or to the payer.

Sanctions and anti-money-laundering restrictions

The User confirms that neither they nor the persons on whose behalf they act are included in sanctions or other restrictive lists applicable to the activities of the Company, its banks and payment providers, and are not controlled by such persons.

The Company may refuse to provide services, suspend transactions and freeze funds where it detects signs of a breach of sanctions restrictions or of requirements on combating the legalisation of criminally obtained income and the financing of terrorism, as well as upon a corresponding demand from a bank, a payment system or an authorised body.

Using the services to transfer funds unrelated to the real turnover of the platform's goods and services is prohibited.

Taxes and the independent status of the parties

The Company is not the User's tax agent unless the law expressly provides otherwise.

The User independently determines their tax status, independently calculates and pays taxes, levies and other mandatory payments on income received from using the services, and independently files the required reports in their country of tax residence.

All amounts stated in the platform documents are given without the User's taxes. If the law obliges the Company to withhold any amount on payout, the payout is made net of that amount.

The parties are not in an employment relationship; this document does not create a joint venture, a partnership or an agency relationship, except as expressly provided.

8. Unclaimed funds

8.1. If an account is not used for more than 24 (twenty-four) consecutive months and there are earned funds on the balance, the Company sends a notice to the User's email address.

8.2. The User may receive such funds at any time, provided that access to the account is confirmed and valid payout details are supplied.

Limitation of liability

The services are provided on an "as is" and "as available" basis. The Company does not warrant that the services will meet the User's subjective expectations, will work without interruption and errors, or that defects will be fixed within any particular period.

The Company is not liable for: — lost profit, lost revenue, players, donations, reputation and data, nor for any indirect losses; — acts and omissions of third parties: payment systems, banks, data centres, telecom operators, rightsholders of game content, shops and sellers of the platform; — unavailability of the services caused by network attacks, outages, acts of authorised bodies and other circumstances beyond the Company's reasonable control; — the consequences of the User using a weak password, sharing access with third parties, or their device being infected with malware.

The Company's aggregate liability on all claims arising from the use of the services, for any period of 12 (twelve) months, is limited to the fee actually received by the Company from the User for that period, and where there is no such fee — to 5,000 (five thousand) rubles.

The limitations of this section apply to the fullest extent permitted by applicable law and do not cover the Company's wilful misconduct.

Indemnifying the Company

The User undertakes to indemnify the Company and its employees for documented losses, including fines, compensation, court costs and legal fees, arising from: — the User's breach of this document, of other platform documents or of the law; — claims, demands and lawsuits of third parties caused by the User's actions, by the content the User posted, by the goods and services the User sells or by the operation of the User's game server; — the User's infringement of intellectual property rights, including distributing add-ons and modpacks without the rightsholder's permission; — sanctions of payment systems, banks and providers incurred because of the User's transactions, including an elevated chargeback rate and signs of prohibited activity.

The Company notifies the User of a received demand and may conduct the defence on its own, as well as withhold the amount demanded from the User's funds on the platform until the matter is resolved.

Amendments to this document

The Company may amend this document unilaterally. Amendments do not raise the price or shorten the term of a service the User has already paid for: the paid period is rendered at the price and for the term in force at the time of payment.

A new version is published on the website and takes effect 14 (fourteen) calendar days after publication, unless the version itself specifies a later date. Changes driven by legal requirements, decisions of authorised bodies or payment systems, or by the need to remove a security threat take effect immediately upon publication.

Registered Users are notified of material changes in their personal account and (or) at the email address stated in the account. Posting a notice in the platform interface also counts as notification.

A User who disagrees with the new version may, before it takes effect, stop using the relevant service. Any amounts already paid are refunded only in the cases and in the manner set out in the Refund and Chargeback Policy. Continuing to use the service after the new version takes effect means agreeing to it.

All previous versions are retained and available on request from support; rights and obligations that arose earlier are governed by the version in force when they arose.

Final provisions

Governing law. This document and the relations of the parties are governed by the substantive law of the Kyrgyz Republic, without regard to its conflict-of-law rules.

Pre-court claim procedure. Before going to court, a party must send a written claim through support. A claim is reviewed within 10 (ten) business days of receipt. The pre-court claim procedure is mandatory, except for disputes with a consumer User: for them a claim is recommended but is not a precondition for going to court.

Jurisdiction. Failing agreement, the dispute is to be heard by the court at the Company's location. A consumer User may also bring a claim before the court whose jurisdiction is established by consumer protection law, including the court at the User's place of residence.

Evidence. The parties may rely on records of the Company's information systems — operation logs, the ledger of funds movement, message and order history, the document acceptance journal — as evidence. The Company ensures the integrity of these records by recording their time, version and checksum. The User may submit any evidence, including screenshots. Evidence is assessed under the rules of the applicable procedural law.

Language of the contract. The contract is concluded in Russian. Where translations into other languages exist, the Russian text prevails.

Severability. If a particular provision is held invalid or unenforceable, the remaining provisions stay valid; the invalid provision is to be replaced by a valid one closest to it in meaning.

No waiver. The Company's failure to exercise a right does not mean waiving it and does not prevent exercising it later.

Assignment. The Company may transfer its rights and obligations under the contract to an affiliate or a successor upon reorganisation, having notified the User. The User may not transfer its rights under the contract to third parties without the Company's written consent.

Legally significant messages. The parties recognise the legal force of messages sent to the email address stated in the account, through the personal account and through official support channels. The User must keep contact details up to date; the risk of not receiving a message sent to outdated details lies with the User.

Entire agreement. This document, together with the other platform documents, constitutes the entire agreement of the parties on the subject matter and supersedes all prior arrangements.

Survival. The provisions on liability, indemnity, confidentiality, intellectual property, dispute resolution and financial obligations survive termination of the contract.
