Millida Hosting User Agreement

Rewizja 10

What this service is and how it works

Millida Hosting is game server rental: we give you computing resources, a connection address and a control panel.

How it is arranged: — you pick a hosting plan (including the free one) and a game version, and the server is created automatically; — in the panel you manage the server: start and stop, console, files, add-ons, backups, settings; — paid plans are paid from the Millida account balance in advance for the chosen period (1, 3, 6 or 12 months — the longer the term, the lower the monthly price); — once the paid period ends the server keeps running for three more days, then it is suspended, and the files are kept and available for download; — if the server was down through our fault, we credit extra days of rental — that is the main form of remedy.

What we do: the infrastructure, the availability of the site, the panel, protection against network attacks, support.

What you do: everything that happens on the server — the content, the add-ons, the players, the administrators. We do not interfere with the game process and do not run the content of your server.

About the modpack and mod catalogue: it is a showcase of other people's work taken from external platforms. We help you install it in one click — we download the files, lay them out and set the core and the loader. We do not write them, so we cannot promise that a particular modpack will start and run without errors. What to install and on which plan is your choice; if one modpack does not work, the server is still yours and you can install another one.

1. General provisions

1.1. These Terms govern the use of the Millida Hosting service — game server rental provided by Market Link LLC, registration number 303671-3301-OOO, taxpayer number 01605202410603, Russian taxpayer number 9909692242, registered address: Kyrgyz Republic, Bishkek, Sverdlovsky district, 62 Kievskaya street (the Company).

1.2. By ordering a server (including a free one), the User confirms that they have read these Terms, the General Terms of Use of Millida and the Privacy Policy and accepts them in full.

1.3. The server is provided as a hosting service: the Company provides computing resources and a control panel, but does not take part in the game process and does not manage the content of the User's server.

How this document is accepted

This document is an offer within the meaning of applicable law and is addressed to an indefinite range of persons.

The document is deemed accepted the moment the User performs any of the following: — ticking the consent box in the platform interface; — completing account registration; — placing an order, a deal, a withdrawal request or a service request; — actually using the relevant service — for documents that do not provide for a separate consent box.

Where acceptance is a distinct action in the interface — a consent box, registration or placing an order — the Company records it in an electronic journal together with the date and time, the document version, the checksum of its text, the IP address and information about the User's software. Such a record is evidence that the contract was concluded and is recognised by the parties as the equivalent of a handwritten signature. An extract from the journal can be requested from support.

For documents accepted by actually using the service, the service usage records themselves serve as evidence of acceptance.

2. What the service includes

2.1. The hosting plan determines the amount of RAM, disk space, processor resources and the set of panel features. The parameters of the plans in force are published on the website and form part of these Terms.

2.2. Processor resources on plans without dedicated cores are provided on a shared basis: the amount stated in the plan is guaranteed, while peak performance depends on the load of neighbouring servers.

2.3. The Company does not guarantee uninterrupted operation of the server. Planned maintenance, updates and restarts are possible without prior notice where they take an insignificant amount of time.

2.4. Backups are created as an additional service and do not replace the User's own copies. The Company is not liable for the loss of game data, worlds, configurations and server content.

2.5. The Company may change the set of panel features, the versions of supported cores and modpacks, and discontinue support for outdated versions, having notified the User by available means of communication.

2a. The catalogue of modpacks, mods, plugins and maps

2a.1. The catalogue in the panel is a showcase of works by third-party authors published on external platforms (CurseForge, Modrinth and the like). The Company is not their author, publisher or rightsholder, does not develop them, does not review their content and does not modify them. The presence of an item in the catalogue means only that it can be installed technically; it is neither a recommendation nor a confirmation of its quality.

2a.2. The Company's service in respect of the catalogue is installation: at the User's choice the panel downloads the item from the source platform, places its files on the server and sets the core and loader version declared by the item itself. In this part the service is treated as duly rendered once the chosen item has been downloaded and placed on the User's server.

2a.3. The Company does not guarantee that catalogue items work and does not undertake to make a particular modpack, mod, plugin or map start. An item by a third-party author may fail to start, exit with an error, conflict with other installed items, require missing dependencies, require more resources than its author states, contain errors in mod, configuration, translation and world files, and be incompatible with the game version and core chosen by the User. Such circumstances are properties of the item itself and are not a defect of the Company's service.

2a.4. Information about an item — memory requirements, game version, loader, contents and description — is taken from the source platform and its author. The Company does not verify it and is not liable for its accuracy or completeness. Warnings, hints and automatic checks in the panel are for reference only: they do not prohibit installation, do not replace the User's choice and do not confirm that the item is compatible with the plan, the core and the rest of the server's content. The User chooses the item, the plan, the game version and the core independently and at their own risk.

2a.5. Changes made by the User after installation — changing the core or the game version, adding and removing mods and plugins, editing configurations, installing several items at once — belong to the User's own server configuration (clause 4.1), regardless of where the original item came from.

2a.6. If a catalogue item does not start, the Company's support helps to look into it on request: it provides the startup logs, points to the error message and to known workarounds, and suggests a compatible version. Developing, adapting, fixing and replacing third-party items is not part of the service and is done only by separate agreement. The Company may remove an item from the catalogue at any time.

2a.7. An inoperable catalogue item does not deprive the User of the service: the server remains available, and the User can install another item, change the core and the game version, or play without add-ons. The impossibility of starting a particular modpack, mod, plugin or map is not a ground for a refund (clause 6.3).

3. The free plan

3.1. The free plan is intended for getting acquainted with the service and for personal play. It is provided "as is", without guarantees of availability, data preservation or provisioning times.

3.2. Technical restrictions apply on the free plan, including: stopping the server when no players are present, a limit on the number of simultaneous connections, a limit on daily running time, and deletion of files after a long period of inactivity. The values in force are published on the website and may change.

3.3. The free plan is provided on the basis of one server per person. The Company may restrict provisioning based on indicators pointing to one and the same user (email address, connection network, device) and refuse provisioning where temporary email addresses and means of concealing the network address are used.

3.4. It is prohibited to combine free servers — including through third-party proxy servers, tunnels and forwarding — into a single game network, or to circumvent the restrictions of the free plan by technical means. Paid plans are provided for server networks.

3.5. The Company may at any time change the terms of the free plan, restrict its provisioning or discontinue it. The Company bears no liability under the free plan.

4. Rules of use

4.1. The User is solely responsible for everything that happens on their server: for the content, the add-ons installed, the actions of administrators and players, and for compliance with third-party rights.

4.2. On Users' servers it is prohibited to: — breach the law, post and distribute prohibited materials; — post materials that infringe third-party rights, including pirated builds of paid add-ons; — use resources for purposes other than the service: cryptocurrency mining, distributed computing, password cracking, training models, file distribution, proxy and VPN services, hosting websites and bots unrelated to the game server; — carry out from the server or through the server network attacks, scanning, spam mailings, phishing, distribution of malicious software; — interfere with the operation of the Company's infrastructure, attempt to gain access to other people's servers, data and internal services, or go beyond the environment provided; — circumvent the restrictions of the plan, including resource limits, counters and technical protection measures; — resell, sublease or provide third parties with access to the server's resources as a standalone service without the Company's written consent; — pass the service off as one's own hosting or otherwise mislead third parties as to the provider of the service; — artificially inflate server attendance: keep bots, inflate the player count and votes in rankings, including Millida Rating; — grant access to the server outside the built-in permission system by sharing the account password.

4.3. The User undertakes to install only those add-ons whose distribution is permitted by their rightsholders, and bears responsibility for breaching licence terms.

4.4. The load of a server must not disrupt the operation of neighbouring servers. The Company may limit the resources of an individual server where its load goes beyond the plan or affects other Users.

4.5. The Company may apply automated means of detecting breaches and obtain technical information about the server's processes and network activity to the extent necessary to ensure security and compliance with these Terms. The Company does not systematically review the content of the User's files, except for a check based on a specific request or an indicator of a breach.

4.6. Access for co-administrators is granted through the panel. Actions taken under the User's account are treated as the User's own. Requests for a refund, deletion of the server and a change of owner are accepted by the Company from the server owner only. A change of owner is made with the consent of both parties confirmed from the linked accounts; the Company does not resolve disputes over rights to a game project.

5. Suspension and termination of the service

5.1. The Company may suspend the operation of the server, limit its resources or block access without prior notice in the following cases: — breach of these Terms, of the General Terms of Use of Millida or of the law; — signs that resources are used for purposes other than the service (clause 4.2); — a request from a rightsholder, a telecom operator, a payment system or an authorised body; — a threat to the security, stability or availability of the Company's infrastructure and of other Users; — non-payment for the service within the set period.

5.2. Where suspension occurs for reasons related to a security threat or a third-party demand, the Company notifies the User by available means of communication within a reasonable time after the suspension.

5.3. In the event of a gross or repeated breach, the Company may terminate the provision of the service and delete the server's files. The files of a suspended server are kept for at least 14 (fourteen) calendar days from the moment of suspension, unless the law or a decision of an authorised body requires otherwise; after that period they may be deleted irrevocably.

5.4. A paid period falling within a suspension caused by the User's fault is neither extended nor refunded.

5.5. The User may challenge a suspension by contacting support. If the breach is not confirmed, the Company restores the server's operation and extends the paid period by the downtime.

5.6. The User may download the server's files within the period they are kept, provided the suspension is not related to a demand of an authorised body.

6. Payment and refunds

6.1. The service is paid for in advance for the chosen period from the Millida account balance. The paid period starts from the moment the payment is credited. The available payment terms (1, 3, 6 and 12 months), the price of each term and the discount in force for long terms are published on the website and form part of these Terms.

6.2. Where there is no payment at the end of the paid period, the server keeps running for a grace period of 3 (three) calendar days and is then suspended. The files are kept for the period stated in clause 5.3 and remain available for download through the panel; the world of a server that players have not visited for a long time is moved to an archive and is restored on the next start.

6.3. The paid period is not refundable. The payment is treated as used if the server was available to the User, regardless of whether the User actually used it. Early withdrawal from the service, closing a game project or losing interest in it, the absence of players, choosing the wrong plan, game version or payment term, a modpack, mod, plugin or map failing to work or to start — including one installed from the panel catalogue (section "The catalogue of modpacks, mods, plugins and maps") — as well as the circumstances that the section "Stage of development of the service" treats as properties of the service, are not grounds for a refund.

6.3.1. The Company may, but is not obliged to, accommodate the User. The decision is taken by the Company's support upon reviewing the request; it is taken at the Company's discretion, is not an acknowledgement of a defect of the service and creates no obligation to take the same decision in the future. The preferred forms of settlement are extending the paid period, changing the plan and crediting compensation to the Millida account balance. Where the Company does decide on a refund, the funds are returned to the Millida account balance.

6.3.1.1. The main form of settlement is crediting extra days of rental to the current paid period. Credited days do not expire before the rental ends and are retained when the plan is changed. The Company credits them without establishing fault and without requiring evidence: up to 7 (seven) days by a decision of support upon the first reasoned request.

6.3.1.2. A refund in money is considered only where crediting days objectively does not resolve the matter: the service could not be provided for more than 30 (thirty) consecutive calendar days, or the rental was terminated on the Company's initiative through no fault of the User.

6.3.2. The request is submitted through support (t.me/MillidaTeamBot) within 14 (fourteen) calendar days of the date of payment and must describe the circumstances. The review period is up to 14 (fourteen) calendar days from the moment the Company receives the information needed to verify the matter. Requests submitted after that period are not reviewed.

6.3.3. No settlement under clause 6.3.1 is made where the service was suspended or terminated for a breach of these Terms, or where there are signs of abuse, including systematic refund requests.

6.3.4. This clause does not limit the consumer rights established by the mandatory rules of the law of the consumer's country of residence.

6.4. A change of plan during a paid period is carried out by crediting the remainder of the previously paid period.

6.5. Discount for a long term. The longer the period paid for, the lower the monthly price. The discount ladder in force is published on the website and forms part of these Terms; the Company may change it for future payments by publishing the change on the website. A change does not affect a period already paid for.

6.5.1. Millida cashback credited to the account wallet under the previously effective terms remains valid: it may be spent on any services of the Platform with no expiry date. Cashback is not the User's money: it cannot be withdrawn to a bank card, account or any other payment instrument, cannot be transferred to other users and is never paid out in money, including upon closure of the account. If a payment for a period that earned cashback is refunded, the amount of the cashback is withheld from the refund in proportion to the refunded part of the period.

6.6. Automatic renewal is performed for the term chosen by the User in the panel, at the price in force at the moment of renewal. For payment terms of three months or more the Company notifies the User of an upcoming charge at least 7 (seven) calendar days in advance. The User may change the renewal term or switch automatic renewal off in the panel at any time; the paid period is retained.

6.7. One-off and non-refundable payments (data migration, a dedicated address, custom work) are not refundable once their performance has begun.

7. Liability

7.1. The service is provided "as is". The Company is not liable for lost profit, loss of players, donations and reputation, nor for any indirect losses of the User.

7.2. The Company's liability is limited to the amount actually paid by the User for the service for the last paid period. Under the free plan the Company bears no liability.

7.3. The Company is not liable for the acts of third parties, including failures of communication networks, data centres, payment systems and rightsholders of game content.

7.4. The Company is not liable for the operability of modpacks, mods, plugins, maps and other third-party items installed on the User's server, including those chosen by the User in the panel catalogue, nor for the consequences of installing, updating and removing them, including the loss of game data and world content.

8. Requests and establishing the cause

8.1. In the event of a technical problem the User contacts support, stating the server, the time of the problem and the actions that preceded it. Operation logs, crash reports and load metrics are collected by the Company through the panel on its own.

8.2. While the check is under way the Company may credit extra days of rental in advance. Such crediting is not an acknowledgement of a defect of the service.

8.3. The period for establishing the cause is up to 5 (five) business days from the request. Where the User does not respond to the Company's queries, the request is closed on the 7th (seventh) day and is reopened at the User's request within 30 (thirty) calendar days.

8.4. Following the check the cause is assigned to one of the categories: the Company's infrastructure; the User's configuration; third-party software; insufficient plan resources; a mixed cause; the cause has not been established.

8.5. Lag, a crash of the process, a connection error or a failure to start do not by themselves determine the category. A mixed cause is taken into account in the share attributable to the Company; a problem recurring for several Users of the same node is attributed to the Company's infrastructure.

8.6. The User may challenge the conclusion once within 14 (fourteen) calendar days; the repeat review is carried out by an employee who did not take part in the initial check.

8.7. The category "third-party software" covers modpacks, mods, plugins, maps and other items regardless of how they were installed, including those chosen by the User in the panel catalogue. Assigning a cause to this category means that the Company's service was rendered duly: no extension of the paid period and no other compensation under section 9 is granted for such a cause, and settlement under clause 6.3.1 remains a right of the Company.

9. Availability and extension for downtime

9.1. The Company aims to keep the platform available at a level of 99.5% of a calendar month for paid plans. The figure is calculated from the Company's records for each server separately. The free plan and features marked as experimental are not covered by this figure.

9.2. The following do not count as downtime: — planned works in the window from 03:00 to 07:00 Moscow time, up to 4 (four) hours in total per month; — emergency works to remove a security threat; — interruptions shorter than 5 (five) minutes; — a server stopping or sleeping when no players are online; — unavailability for the reasons stated in sections 4 and 5 of these Terms; — unavailability of one entry point while the backup one is working.

9.3. Confirmed downtime for reasons on the Company's side is remedied by extending the paid period by the duration of the downtime plus 1 (one) day, and where the downtime exceeds 24 (twenty-four) consecutive hours, by a further 7 (seven) days. Extension of the paid period is the only form of remedy under this section.

9.4. In a mass incident the days are credited to the affected servers automatically, without requests, and the Company publishes a notice to that effect. A request concerning an individual case is submitted within 30 (thirty) calendar days after the month in which the downtime occurred.

9.5. The official channel for notices of incidents and works is the service status page and notifications in the panel.

Stage of development of the service

The services of the Millida platform are at an active stage of development. The Company keeps refining them: adding and changing features, reworking interfaces, infrastructure and pricing.

By placing an order and paying for a service, the User confirms being aware of this and accepts the following properties of the service at this stage: — interruptions, errors, slowdowns and temporary unavailability of individual features are possible; — the set of features, the interfaces and the technical characteristics may change, and individual features may cease to be supported; — the actual performance may differ from the subjective expectations of the User and from the result obtained by other Users.

The service is provided "as is". The circumstances listed above are a property of the service agreed by the parties rather than a defect of it, and they are not grounds for refunding the amounts paid, for a recalculation or for withdrawing from a paid order. This term does not limit the Company's liability for non-performance or improper performance of its obligations, nor the rights of a consumer User, where the law does not permit such a limitation.

The Company takes reasonable steps to remedy confirmed failures. Where a service was in fact not rendered for reasons attributable to the Company, the User may contact support: the procedure for handling such a request and its possible outcomes are set out in the Refund and Chargeback Policy.

Indemnifying the Company

The User undertakes to indemnify the Company and its employees for documented losses, including fines, compensation, court costs and legal fees, arising from: — the User's breach of this document, of other platform documents or of the law; — claims, demands and lawsuits of third parties caused by the User's actions, by the content the User posted, by the goods and services the User sells or by the operation of the User's game server; — the User's infringement of intellectual property rights, including distributing add-ons and modpacks without the rightsholder's permission; — sanctions of payment systems, banks and providers incurred because of the User's transactions, including an elevated chargeback rate and signs of prohibited activity.

The Company notifies the User of a received demand and may conduct the defence on its own, as well as withhold the amount demanded from the User's funds on the platform until the matter is resolved.

Amendments to this document

The Company may amend this document unilaterally. Amendments do not raise the price or shorten the term of a service the User has already paid for: the paid period is rendered at the price and for the term in force at the time of payment.

A new version is published on the website and takes effect 14 (fourteen) calendar days after publication, unless the version itself specifies a later date. Changes driven by legal requirements, decisions of authorised bodies or payment systems, or by the need to remove a security threat take effect immediately upon publication.

Registered Users are notified of material changes in their personal account and (or) at the email address stated in the account. Posting a notice in the platform interface also counts as notification.

A User who disagrees with the new version may, before it takes effect, stop using the relevant service. Any amounts already paid are refunded only in the cases and in the manner set out in the Refund and Chargeback Policy. Continuing to use the service after the new version takes effect means agreeing to it.

All previous versions are retained and available on request from support; rights and obligations that arose earlier are governed by the version in force when they arose.

Final provisions

Governing law. This document and the relations of the parties are governed by the substantive law of the Kyrgyz Republic, without regard to its conflict-of-law rules.

Pre-court claim procedure. Before going to court, a party must send a written claim through support. A claim is reviewed within 10 (ten) business days of receipt. The pre-court claim procedure is mandatory, except for disputes with a consumer User: for them a claim is recommended but is not a precondition for going to court.

Jurisdiction. Failing agreement, the dispute is to be heard by the court at the Company's location. A consumer User may also bring a claim before the court whose jurisdiction is established by consumer protection law, including the court at the User's place of residence.

Evidence. The parties may rely on records of the Company's information systems — operation logs, the ledger of funds movement, message and order history, the document acceptance journal — as evidence. The Company ensures the integrity of these records by recording their time, version and checksum. The User may submit any evidence, including screenshots. Evidence is assessed under the rules of the applicable procedural law.

Language of the contract. The contract is concluded in Russian. Where translations into other languages exist, the Russian text prevails.

Severability. If a particular provision is held invalid or unenforceable, the remaining provisions stay valid; the invalid provision is to be replaced by a valid one closest to it in meaning.

No waiver. The Company's failure to exercise a right does not mean waiving it and does not prevent exercising it later.

Assignment. The Company may transfer its rights and obligations under the contract to an affiliate or a successor upon reorganisation, having notified the User. The User may not transfer its rights under the contract to third parties without the Company's written consent.

Legally significant messages. The parties recognise the legal force of messages sent to the email address stated in the account, through the personal account and through official support channels. The User must keep contact details up to date; the risk of not receiving a message sent to outdated details lies with the User.

Entire agreement. This document, together with the other platform documents, constitutes the entire agreement of the parties on the subject matter and supersedes all prior arrangements.

Survival. The provisions on liability, indemnity, confidentiality, intellectual property, dispute resolution and financial obligations survive termination of the contract.
